Yes. He has many outs. The offer to buy is always followed by discovery to ensure all liabilities and financial exposures are covered. False reporting of bot activity and the associated over reporting of users is a huge financial consideration. Remember, for these types of companies, it's about revenue per user. So if the user count is significantly wrong, this significantly changes the revenue per user. Not to mention, creates huge SEC exposure and liability concerns. These alone could be enough to kill off Twitter. Which, of course, means Musk should take this into account.
As Musk provided multiple requests for full disclosure and they refused to comply, this means Musk is off the hook for the billion dollar exit. Musk has nothing to risk now, except for a corrupt judge. A trial on this could be as quick as a day as it really is as simple as Musk showing his formal request and Twitter not providing the information. This is basically the extent of Musk's required defense to not buy and not pay the billion exit.
