For profit corporations are regulated by each State and must follow statutory law. When corporations operate outside of its corporate charter and bylaws and contrary to the State's statutes and public policy, they are in violation of their granted privilege to operate. The corporation must file with the Secretary of State any amendment to their Articles of Incorporation (Corporate Charter). The Corporate Charter must detail the governance, structure, objectives, operations, as well as other major details of the company. If approved by the State, the company becomes a legal corporation.

Are these companies exposing themselves to risk, including being personally liable for all the possible damages and debts created by the business during the period that the corporation transacted business without a legitimate corporate charter? Are they interfering with the public policy of the State?

I believe this is one area the State can attack corporations, who sign on to these attacks. Moreover, Civic Alliance is the non-profit corporation behind the organized attacks on the State governments of Georgia, Arkansas, and Texas. Civic Alliance was organized by former American Express CEO Kenneth Chenault and Merck & Co. CEO Kenneth Frazier.

Civic Alliance is liable for interfering with the commerce of Georgia, Arkansas, and Texas by using malicious and false information. They are in violation of interfering with the public policy and governance of the State.
