Wouldn't the state just be the one that has the power to make it a corporation? It doesn't own it. Just the state has so much power.

It comes from authorship. The corporation is a work of fiction, and the author of a work of fiction has ultimate authority over it.

But of course we can argue that it isn't rightful ownership, given that the people submitting corporation registration don't fully understand this and are doing it under duress, so there is no informed consent given to the handing over of ownership of their assets and labour.
