I – What is it about? A revealer: a history and an analysis of the American legal system in matters of business law as symptoms of globalization. 1 – The theme of business corruption, corporate collective responsibility and that of the effects of globalization on the legal order have imposed themselves on the public scene with the multiplication and the rise in value of the sanctions pronounced by the American judge , especially against European companies. 2 – The American sanctions imposed on European or external companies have hit the headlines because of the amounts of the fines imposed, but also and above all by the takeover or compliance operations they determined, at the end of the transactional procedure known as the “deffered prosecution agreement”, or deferred prosecution agreement, supposed to restore market integrity as quickly as possible while sparing the slowness of a trial… 3 – The American system is part of a set of treaties, negotiated commitments, international conventions, “soft law”, which aim to establish and apply universalist legal principles everywhere in the world, in the service of a globalist ideology.
